DESIGNOTION.COM - TERMS AND CONDITIONS

1. AGREEMENT
2. ‍1.1. These Terms and Conditions form a binding legal agreement between you ("the Client") and Designotion.com ("we," "us," "our"). By subscribing to the services of Designotion.com, the Client agrees to abide by these Terms and Conditions.
3. SERVICES
4. ‍2.1. Designotion.com offers a design retainer service. The Client, upon subscribing, is entitled to submit unlimited design requests and receive updates during business days.
5. 2.2. We will process requests individually and in the order they are received. The estimated completion time for each task or subtask is solely under the discretion of Designotion.com.
6. 2.3. We reserve the right to break down a complex task into several subtasks for better manageability and execution.
7. LICENSED ASSETS
8. ‍3.1. Any licensed assets used in our design work, including but not limited to images, videos, fonts, or other licensable assets, will be disclosed to the Client.
9. 3.2. The Client is solely responsible for ensuring they have the necessary rights and licenses to use these assets in their final design. Designotion.com is not liable for any legal or financial consequences arising from the misuse or unauthorized use of these assets.
10. PORTFOLIO USE
11. ‍4.1. Unless otherwise requested by the Client, Designotion.com reserves the right to showcase any of the work completed for the Client in its public portfolio.
12. 4.2. The Client may request a non-disclosure agreement (NDA) to protect their privacy. Upon such request, and subject to our approval, Designotion.com will refrain from displaying the Client's works publicly.
13. REFUNDS
14. ‍5.1. Our services are offered on a retainer basis. As such, we do not offer refunds if the Client is unsatisfied with a completed design task.5.2. However, under extraordinary circumstances, and at the discretion of Designotion.com, refunds may be granted. In such cases, a minimum service fee of 30% will be deducted from the refund amount.
15. INDEMNIFICATION
16. ‍6.1. The Client agrees to indemnify, defend, and hold harmless Designotion.com, its officers, directors, employees, agents, and affiliates from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from any violation of these Terms and Conditions or any activity related to the Client's account by the Client or any other person accessing the services using the Client's account.
17. INTELLECTUAL PROPERTY
18. ‍7.1. All intellectual property rights in the design work carried out by Designotion.com remain with us until full payment has been received. Upon receipt of full payment, the ownership of the completed work will be transferred to the Client.
19. 7.2. The Client guarantees that any elements of text, images, or other artwork provided to Designotion.com are owned by the Client or that the Client has permission to use them. The Client will hold harmless, protect, and defend Designotion.com from any claim or suit arising from the use of such elements.
20. TERMINATION
21. ‍8.1. Either party may terminate this agreement at any time by providing the other party with a 30-day written notice. Fees for services rendered until the termination date will still be payable.
22. LIMITATION OF LIABILITY
23. ‍9.1. Under no circumstances shall Designotion.com be liable for any direct, indirect, incidental, consequential, special, or exemplary damages arising out of or in connection with the use of the Services.
24. FORCE MAJEURE10.1. Neither party will be held liable for a delay or failure in performance of the agreement for services caused by the occurrence of unforeseen events beyond its reasonable control.
25. SEVERABILITY
26. ‍11.1. If any provision of these Terms and Conditions is declared invalid or unenforceable, such provision shall be deemed modified to the extent necessary and possible to render it valid and enforceable.
27. GOVERNING LAW
28. ‍12.1. These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the country where Designotion.com is registered (Albania, as of July 24, 2023).
29. CHANGES TO THE TERMS AND CONDITIONS
30. ‍13.1. Designotion.com reserves the right to revise these Terms and Conditions at any time. Any changes will be effective immediately upon posting on our website. The Client's continued use of our services following the posting of any changes will constitute their acceptance of such changes.
31. ACCEPTANCE
32. ‍14.1. By using Designotion.com’s services, the Client acknowledges that they have read, understood, and agreed to be bound by these Terms and Conditions.
